Terms of Service

1. Acceptance of Terms

By accessing and using this website or engaging Astriva Technologies for any service, you confirm that you are at least 18 years of age, have the legal authority to enter into binding agreements, and accept these Terms in full. These Terms apply to all visitors, clients, and any other users of our website or services.

2. Services Description

Astriva Technologies provides custom software development, mobile app development, cloud & DevOps services, SEO & digital marketing, UI/UX design, IT consulting, and AI automation services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or Project Agreement.

We reserve the right to modify, suspend, or discontinue any service offering at any time without prior notice. Existing project agreements remain unaffected by such changes.

3. Client Obligations

To enable us to deliver services effectively, clients agree to:

• Provide accurate and complete project requirements and briefs
• Respond to communications and feedback requests in a timely manner
• Provide access to required systems, assets, or third-party accounts as needed
• Designate a primary point of contact for the engagement
• Review and approve deliverables within agreed timelines
• Comply with all applicable laws in the use of delivered software or services

Delays caused by the client's failure to meet these obligations may result in timeline extensions, and Astriva Technologies shall not be held liable for such delays.

4. Payment Terms

Payment terms are defined in each project agreement, typically:

• Fixed-price projects — advance deposit required before work commences, balance due at delivery milestones as agreed
• Monthly retainer — invoiced at the start of each calendar month, due within 7 days
• Hourly engagements — invoiced weekly or bi-weekly based on logged hours

All invoices are due within the period stated on the invoice. Late payments may attract interest charges at a rate of 1.5% per month on the outstanding balance. Astriva Technologies reserves the right to suspend work on overdue accounts.

All prices are quoted exclusive of applicable taxes unless stated otherwise.

5. Intellectual Property

Client-Owned Work Product

Upon receipt of full payment, the client owns all custom code, designs, and deliverables specifically created for their project under the applicable project agreement.

Third-Party Components

Deliverables may incorporate open-source libraries, third-party APIs, or licensed components. Ownership of such components remains with their respective owners, and the client is responsible for complying with their individual licences.

Astriva Proprietary Tools

Internal frameworks, boilerplate code, and tooling developed by Astriva Technologies remain our intellectual property. Clients receive a non-exclusive, perpetual licence to use these components as part of the delivered project.

Portfolio Rights

Unless otherwise agreed in writing, Astriva Technologies reserves the right to reference the general nature of the work (industry, technology used, outcome) in our portfolio and marketing materials — without disclosing client identity or confidential details.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business plans, technical architecture, customer data, and financial information. Confidentiality obligations survive the termination of the agreement for a period of 3 years.

We are happy to sign a mutual NDA prior to any project discussions upon client request.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Astriva Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business — arising from the use or inability to use our services.

Our total liability for any claim relating to a specific project shall not exceed the total fees paid by the client for that project in the 3 months preceding the claim.

This website is provided "as is" without warranties of any kind. We do not guarantee uninterrupted, error-free access to the website.

8. Warranty & Post-Launch Support

All delivered projects include a 30-day post-launch warranty covering bug fixes for functionality explicitly in scope. This warranty does not cover:

• New feature requests or scope changes
• Issues caused by client modifications to the codebase
• Third-party service outages or API changes
• Browser or device compatibility changes after delivery

Ongoing maintenance and support beyond the warranty period is available under a separate monthly support retainer.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. In the event of termination:

• The client is liable for payment of all work completed up to the termination date
• Astriva Technologies will deliver all completed work and assets to the client
• Any advance payments for undelivered work will be refunded on a pro-rata basis

We reserve the right to terminate an engagement immediately if a client acts in bad faith, violates these Terms, or fails to make payment within 30 days of an overdue invoice.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

For clients in Canada or other jurisdictions, we are open to negotiating jurisdiction clauses in individual project agreements.
